1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the website located at norwalkpallets.com (the "Site"), operated by Norwalk Pallets ("Company," "we," "us," or "our"), with a principal place of business at 319 Wilson Ave, Norwalk, CT 06854.
By accessing or using the Site, or by entering into a business transaction with Norwalk Pallets, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Site or engage our services.
2. Use of the Website
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

- · Transmit any unsolicited or unauthorized advertising or promotional material
- · Impersonate Norwalk Pallets, our employees, agents, or any other person or entity
- · Attempt to gain unauthorized access to any part of the Site or its related systems
- · Use automated means (bots, scrapers, crawlers) to extract content from the Site without prior written consent
- · Introduce malware, viruses, or other malicious code onto the Site
We reserve the right to terminate your access to the Site at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
3. Purchase Terms and Transactions
Any purchase or sale of pallets or services through Norwalk Pallets is subject to the following terms, which supplement any separate written agreement between the parties:
3.1 Quotes and Pricing
All pricing quotes are estimates only and are valid for the period stated in the quote (or 7 calendar days if no period is stated). Final pricing is subject to confirmation based on current inventory availability, actual quantity delivered, and market conditions. Prices are subject to change without notice until a written sales order is confirmed by Norwalk Pallets.
3.2 Product Grades and Specifications
We make reasonable efforts to ensure that delivered pallets conform to the agreed grade specification. Grade determinations are based on our internal inspection standards. Buyers acknowledge that used pallets by nature exhibit variation in appearance, coloring, and minor cosmetic imperfections consistent with their grade designation. Claims for off-grade pallets must be submitted in writing within 72 hours of delivery with photographic evidence.
3.3 Payment
Payment terms are as stated in the applicable invoice or purchase order. Invoices not paid within terms are subject to a late fee of 1.5% per month (18% per year) on overdue balances. Norwalk Pallets reserves the right to require prepayment for new customers or customers with delinquent accounts.
3.4 Delivery and Risk of Loss
Risk of loss transfers to the buyer upon delivery to the specified delivery address or upon pickup from our facility by the buyer or buyer's agent. Norwalk Pallets is not responsible for damage that occurs after title transfer.
4. Intellectual Property
The Site and its original content, features, and functionality are and will remain the exclusive property of Norwalk Pallets and its licensors. The Norwalk Pallets name, logo, and all related marks are proprietary to us.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from the Site without our express prior written permission.
5. Disclaimer of Warranties
THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Norwalk Pallets does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information or content on the Site.
6. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NORWALK PALLETS, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall our total liability to you for all claims exceed the lesser of: (a) the amount you paid us for the transaction giving rise to the claim in the twelve months preceding the claim; or (b) $5,000.
7. Indemnification
You agree to defend, indemnify, and hold harmless Norwalk Pallets and its affiliates, officers, employees, and agents from any claims, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any misrepresentation made by you.
8. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. You agree that any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Fairfield County, Connecticut, and you irrevocably consent to the jurisdiction of such courts.
9. Dispute Resolution
Before initiating formal legal proceedings, you agree to first contact us in writing at the address below and make a good-faith effort to resolve the dispute directly with us. We will attempt to resolve the matter within 30 days of receiving your written notice.
If the dispute cannot be resolved informally, either party may seek resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in Fairfield County, Connecticut. The decision of the arbitrator shall be final and binding on both parties. This arbitration provision does not apply to claims that qualify for small claims court in Connecticut.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site with an updated "Last Updated" date. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.
11. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
